Terms and Conditions of Membership
Article 1 (Scope of Application and Declaration)
These Terms and Conditions shall apply between EJobSite.jp. (hereinafter referred to as either "we", "us" or "our") and the users of, and those who have registered to use, the online job advertisement and information services called "EjobSite Job Portal" (hereinafter referred to as "EJOBSITE") provided by us. We hereby agree to provide the services in accordance with these Terms and Conditions, and the Member (to be defined in Article 2) hereby agrees to comply with the provisions of these Terms and Conditions. In addition, these Terms and Conditions for the services shall be applicable only in Japan, and shall be governed by and construed in accordance with the laws of Japan.
Article 2 (Member)
A member of EJOBSITE (hereinafter referred to as the "Member") shall be a natural person who has reviewed and consented to these Terms and Conditions and any other rules and provisions prescribed by us including the handling of personal information and privacy policy, and who has registered with EJOBSITE in accordance with the instructions of EJOBSITE. We may refuse to register any applicant who is deemed inappropriate as a Member, and the applicant shall not raise any objection thereto.
Article 3 (Responsibility of Member)
The Member shall complete the EJOBSITE membership registration at the Member's own will and responsibility, and shall use EJOBSITE services in accordance with the methods prescribed by us and with the full understanding of the following matters:
1. The Member shall use any and all services of EJOBSITE at his/her own will and responsibility, and shall be responsible for the content of any and all information submitted by the Member.
2. The Member may, at any time, add, change, or delete the whole or part of the registered information.
3. The Member may, at any time, cancel his/her registration and unsubscribe from EJOBSITE services.
4. The Member shall be responsible for the management of the E-mail address provided at the time of registration and other information such as the password issued by EJOBSITE, and shall not lend, assign, or give as a security to any third party such information, or change his/her registered name, etc. with respect thereto.
5. We shall not be liable for any damage arising out of the Member's own mismanagement of his/her E-mail address, password, etc.
6. If the Member discovers any tampering or unauthorized use by a third party of any registered information, he/she shall immediately notify us thereof and follow any instructions given by us; provided, however, that we shall not be liable for any damage arising there from.
7. The Member hereby acknowledges and accepts that all the EJOBSITE services are offered by us for the purpose of introducing job opportunities, and that using EJOBSITE services does not guarantee employment.
8. The Member hereby acknowledges and accepts that we shall not review or check the reliability of any information provided by the companies listed in EJOBSITE (employment opportunities, company information, scout mail, etc.) in relation to all services of EJOBSITE.
9. The Member hereby acknowledges and accepts that we shall not be involved in any exchange of information or negotiation between the Member and the listed companies, or ensure any certainty of communication, etc. between the Member and the listed companies, in relation to any of the services of EJOBSITE.
10. The Member hereby acknowledges and accepts that we shall not be responsible for any disputes between any listed company and the Member, between Members, or between any affiliate company and the Member, etc.
Article 4 (Expulsion and Suspension of Use)
We may, without prior notice to the Member, suspend the use of the whole or part of the membership services by the Member or expel the Member if, in our judgment, the Member has violated the Terms and Conditions of membership, or if the Member has been found to have acted in such a way as to place undue load on the operational systems of EJOBSITE or significantly affect the continuous provision of EJOBSITE services regardless of whether such act was committed intentionally or unintentionally.
Article 5 (Change, Suspension, and Termination of Member Services)
We may, without prior notice to the Member, change or implement temporary or long-term suspension of the whole or part of EJOBSITE services in any of the following cases, and the Member shall hereby give his/her consent thereto. In addition, we may also, without prior notice to the Member, terminate the whole or part of member services:
· When conducting system maintenance (routine or emergency);
· When conducting operations associated with the renewal of services, etc.;
· When communication lines, servers, hardware, etc. have been interrupted or halted due to accident and/or malfunction;
· When we have become unable to operate the services due to unforeseen circumstances such as fire, power outage, line disturbance, and natural disaster; or
· When we otherwise find it necessary to temporarily interrupt or suspend the services.
Article 6 (Exemption from Liability)
We shall not be liable for any of the following matters. In addition, the term "damage" as used hereinafter shall include emotional distress, financial loss, and any other disadvantages.
- Any damage arising out of the refusal of registration provided for in Article 2, and expulsion, suspension of use, etc. provided for in Article 4;
- Any damage arising out of the change, suspension and termination of member services provided for in Article 5, and delay, etc. caused by fire, power outage, other cause beyond the control of us, etc.;
- Any damage arising out of any leakage, etc. of information obtained through the services provided by EJOBSITE or through EJOBSITE;
- Any damage arising out of the warranty of accuracy and reliability of information obtained through the services provided by EJOBSITE or through EJOBSITE;
- Any damage caused between the Member and any third party in relation to the services provided by EJOBSITE; and
- Any other matters relevant to the above.
Article 7 (Prohibited Acts of Member)
The Member shall not engage in any of the following prohibited acts towards us, listed companies, other media, or any other third party, in the use of all services of EJOBSITE. The Member hereby acknowledges and accepts that we have the right to investigate, possess, or disclose any relevant and necessary information in connection with any orders of the supervisory agencies, police, courts, etc. or other legal proceedings, if we deem necessary.
- Any registration of false information or sending of false messages or applications;
- Acting under an assumed name or acting anonymously;
- Any violation of laws, regulations, etc. of Japan;
- Any acts that offend public order and morals;
- Any defamation or slander;
- Any violation of privacy;
- Any infringement of copyright, right of publicity, intellectual property, etc.;
- The provision of information for sales promotion or profit-making purposes;
- Any obstruction of business of the listed companies;
- Any obstruction of the operation of EJOBSITE;
- Any acts causing any obstruction to other Members;
- Unauthorized use of ID and/or password;
- Unauthorized access such as cracking into us and/or affiliate companies;
- Any transmission and/or posting of viruses, worms, and other harmful computer programs; and
- Any other violation of these Terms and Conditions.
Article 8 (Handling of Personal Information)
1. Acknowledgement
The Member hereby acknowledges and accepts the following regarding his/her personal information obtained by us through the voluntary registration by the Member. We shall handle the personal information of the Member in accordance with applicable laws and regulations, and shall not be responsible for the protection of personal information beyond the extent provided thereby. If the Member does not consent to this item, all the services may not be made available.
- The content of the information entered when applying to any of the companies listed in EJOBSITE;
- All information registered by the Member prior to using the services of EJOBSITE;
- The service offered by EJOBSITE to its listing clients involving the disclosure of information about the Member after anonymizing the E-mail address, name, address, and telephone number(s) of the Member; and
- Other services of EJOBSITE that require the registration of personal information.
2. Purpose of Use of Personal Information
The personal information registered by the Member at the time of becoming the Member, such as work experience, career history, and E-mail address, shall only be used for the purpose of appropriately providing information through us within the scope of the services registered by the Member.
3. Use and Provision of Personal Information
We shall not, without the consent of the Member, disclose any personal information of the Member to any third party or use it for any purpose other than for the purposes provided for in the preceding section; provided, however, that such information may be disclosed without the consent of the Member when required by the provisions of laws and regulations or in the event of actual or anticipated damage to other users or any third party, etc.
4. Disclosure, Addition, Deletion, and Correction of Personal Information
Any request for the disclosure, addition, deletion, and correction of personal information of the Member may only be made by the Member him/herself. Any such request shall be addressed to EJOBSITE (http://ejobsite.jp/).
5. Outsourcing
We may outsource the handling and management of personal information to outside contractors. In such cases, we shall select the outside contractors who satisfy appropriate personal information protection standards, and conclude a non-disclosure agreement with the contractor, and manage the contractor to ensure the proper handling of the personal information by the contractor.
6. We have taken, and endeavor to constantly improve, necessary technical and organizational measures for safety to prevent any loss, misuse, tampering, and leakage of the personal information managed by us, and to prevent the risk of unauthorized access, etc. to the electronic database containing personal information.

Article 9 (Non-Disclosure of Personal Information)
We shall not, in principle, disclose any personal information of the Member to any third party such as listed company without the consent of the Member; provided, however, we shall not be held liable for disclosing the personal information in the following cases:
- When the Member consents to such disclosure;
- When the Member has him/herself disclosed personal information to a specific company using the services and/or function of EJOBSITE or other means;
- When the identity of the Member happens to become known from the content of information registered by the Member him/herself;
- When we receive a request for cooperation from the state or other public entities in the execution of any acts prescribed by laws and regulations, and if we find that obtaining the consent of the Member is likely to impede the execution of such acts;
- When the disclosure or provision of such information is permitted under laws, regulations, etc.; or
- If the disclosure is necessary, in our reasonable judgment, for the purpose of providing services to the Member.
For the avoidance of doubt, the term "third party" as used in this section shall not include any outside contractors to whom we have outsourced the handling of the whole or part of the personal information. We shall appropriately manage the contractors to whom the handling of personal information is outsourced including the confirmation of security and conclusion of non-disclosure agreement.
Article 10 (Amendment to Terms and Conditions)
We may amend these Terms and Conditions, from time to time; and in the event of any such amendment, such amended Terms and Conditions shall apply to the Member.
Article 11 (Compensation for Damages)
The Member shall be liable for any damage caused to us by reason of any intentional or negligent violation of these Terms and Conditions by the Member including compensation for attorneys' fees incurred by us.
Article 12 (Jurisdiction)
Any lawsuits and disputes between the Member and us arising out of these Terms and Conditions shall be subject to the exclusive jurisdiction of the Tokyo District Court as the agreed court of first instance.
